CamHealth Pty Ltd — Terms and Conditions of Sale

1. Application

These Terms and Conditions of Sale (“Terms”) apply to all sales of equipment, software licences, and consumables (“Goods”) by CamHealth Pty Ltd (“CamHealth”, “we”, “us”) to the customer named in the relevant quote, order confirmation, or invoice (“Customer”, “you”). These Terms apply to the exclusion of any terms proposed or referenced by the Customer, unless expressly agreed in writing by CamHealth. Service contracts (including CoreProtect and CompleteProtect plans) are governed by separate Terms and Conditions of Service, available on request or at the time of contract execution.

2. Quotes and Orders

Quotes issued by CamHealth remain open for acceptance for fourteen (14) days from the date of issue, unless otherwise stated, after which CamHealth reserves the right to revise pricing or availability. An order is only binding on CamHealth once confirmed in writing (including by email). CamHealth reserves the right to accept or decline any order at its discretion.

3. Pricing

Prices are quoted in Australian Dollars (AUD) and exclude GST unless stated otherwise. Prices are ex-stock and firm for the validity period of the quote. Import duty, where applicable, has been paid by CamHealth and is non-refundable. Prices may be varied by CamHealth prior to order confirmation to reflect changes in exchange rates, supplier costs, or duties beyond our control.

4. Payment Terms

Unless otherwise agreed in writing, invoices are payable within fourteen (14) days net from the date of delivery. Where a special payment arrangement has been agreed with a Customer, that arrangement will be set out in writing and will prevail over this clause. CamHealth reserves the right to charge interest on overdue accounts at the rate prescribed under the Penalty Interest Rates Act (NSW), and to suspend further deliveries of goods or services until overdue amounts are paid in full.

5. Delivery and Risk

Delivery timeframes provided by CamHealth are estimates only and not guaranteed delivery dates, unless expressly agreed in writing. Goods are insured in transit under CamHealth’s general transit policy at no additional cost to the Customer. Risk in the Goods passes to the Customer on delivery. Title in the Goods does not pass to the Customer until payment has been received in full. Until full payment is received, the Customer holds the Goods as bailee for CamHealth and must keep them separately identifiable and adequately insured.

6. Cancellation

Orders accepted by CamHealth may only be cancelled with CamHealth’s written agreement, which may be subject to conditions, including payment of costs incurred by CamHealth up to the date of cancellation.

7. Warranty

CamHealth warrants Goods against defects in workmanship or materials for twelve (12) months from the date of delivery, unless a different period is stated in the applicable product documentation or service contract. During the warranty period, CamHealth will repair or, at its discretion, replace defective Goods at its own expense.

This warranty does not cover defects arising from:

(a) improper storage, handling, installation, or use;
(b) alteration, modification, or repair carried out by anyone other than CamHealth or its authorised representatives;
(c) failure to follow the manufacturer’s or CamHealth’s written instructions, recommendations, or specifications; or
(d) normal wear and tear, consumable items, or use outside the Goods’ intended operating parameters.

Nothing in this clause limits any rights the Customer may have under the Australian Consumer Law that cannot be excluded, restricted, or modified.

8. Limitation of Liability

To the extent permitted by law, CamHealth’s liability for any claim arising from the supply of Goods is limited, at CamHealth’s option, to the repair or replacement of the Goods, or the resupply of the relevant service. CamHealth is not liable for any indirect, special, or consequential loss, including loss of profits, loss of use, or business interruption, arising from the supply or use of the Goods.

9. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.

10. Full Terms

This is the current version of CamHealth’s Terms and Conditions of Sale. By accepting a CamHealth quote, the Customer agrees to be bound by the Terms and Conditions of Sale in effect at the date of the quote.
